Terms of Service

1. Eligibility

You must be at least 13 years old to use Kinetis Play. If you are under the age of majority in your jurisdiction, you may only use the Platform with the permission of a parent or legal guardian.

By using the Platform, you represent that you are legally able to enter into these Terms.

2. Your account

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for:

• maintaining the confidentiality of your account credentials
• all activity that occurs under your account
• notifying us promptly if you believe your account has been accessed without authorization

We reserve the right to suspend or terminate accounts that contain false information, impersonate others, or violate these Terms.

3. The Platform

Kinetis Play is a sports publishing and community platform where users may read, publish, comment on, and interact with sports-related content.

We may add, remove, modify, suspend, or discontinue any part of the Platform at any time, with or without notice.

We do not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

4. User content

"User Content" means any content you submit, publish, upload, post, transmit, or otherwise make available on the Platform, including articles, comments, usernames, bios, profile images, and other materials.

You retain ownership of the content you create and post. However, by posting User Content on Kinetis Play, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, distribute, display, publish, adapt, and use that content as necessary to operate, improve, promote, and provide the Platform.

This license ends within a commercially reasonable period after you delete your content or account, except to the extent:

• the content has been shared by others
• we need to retain it for legal, security, or compliance purposes
• it has been archived or backed up in the ordinary course of business

5. Content rules

You agree not to post, upload, or share content that:

• is unlawful, defamatory, fraudulent, or misleading
• infringes another person's copyright, trademark, privacy, or other rights
• contains harassment, hate speech, threats, or abusive conduct
• promotes violence or illegal activity
• constitutes spam, inauthentic engagement, or coordinated manipulation
• impersonates another person or entity
• contains malware, malicious code, or harmful technical content
• is plagiarized or knowingly misattributed
• otherwise violates our policies

We reserve the right, but not the obligation, to review, remove, restrict, edit, or refuse any content at our sole discretion.

6. Creator Program

Certain users may be permitted to enroll in the Creator Program and access publication features. Enrollment in the Creator Program does not create an employment, contractor, agency, or partnership relationship between you and Kinetis Play.

We may change, limit, suspend, or remove Creator Program access at any time.

If you participate in the Creator Program, you are responsible for ensuring that your content is accurate, original, and compliant with applicable laws, disclosure requirements, and these Terms.

7. Intellectual property

The Platform, excluding User Content, including its design, branding, software, text, graphics, logos, and other materials, is owned by Kinetis Play or its licensors and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, reverse engineer, or exploit any part of the Platform except as expressly permitted by us in writing.

8. Copyright complaints

If you believe content on Kinetis Play infringes your copyright, please contact legal@kinetisplay.com with:

• your name and contact information
• identification of the copyrighted work claimed to be infringed
• identification of the allegedly infringing material and its location on the Platform
• a statement that you have a good-faith belief the use is unauthorized
• a statement that the information in your notice is accurate
• a statement, under penalty of perjury where applicable, that you are authorized to act on behalf of the copyright owner

We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.

9. Prohibited conduct

You may not:

• use bots or scraping tools without authorization
• interfere with or disrupt the Platform
• attempt to gain unauthorized access to accounts, systems, or networks
• use the Platform for deceptive, abusive, or illegal conduct
• manipulate engagement metrics
• use the Platform in any way that could harm Kinetis Play, its users, or its systems

10. Termination

We reserve the right to suspend, restrict, or terminate your access to the Platform at any time, with or without notice, if we believe you violated these Terms, created risk for other users, or exposed us to legal or operational risk.

You may stop using the Platform at any time.

11. Disclaimers

Kinetis Play is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

We do not guarantee the accuracy, completeness, or usefulness of user-generated content published on the Platform. The opinions expressed by users are their own and do not necessarily reflect those of Kinetis Play.

12. Limitation of liability

To the fullest extent permitted by law, Kinetis Play and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or business opportunities arising out of or related to your use of the Platform.

Our total liability for any claim arising out of or relating to the Platform will not exceed the greater of:

• the amount you paid us, if any, in the 12 months preceding the claim, or
• $100 USD

13. Indemnification

You agree to defend, indemnify, and hold harmless Kinetis Play and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

• your use of the Platform
• your User Content
• your violation of these Terms
• your violation of any law or third-party right

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate. Your continued use of the Platform after updated Terms take effect means you accept the revised Terms.
